Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Shark Invoice (the “Service”), operated by Hakkiloo Digital Agency (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. The Service
Shark Invoice is a WhatsApp-first GST invoicing platform for Indian small and medium businesses. The Service helps you:
- Create GST-compliant invoices and quotes
- Send invoices to your customers via WhatsApp and the web
- Track payments and outstanding amounts
- Manage client information
Important: Shark Invoice is invoicing software, not a payment processor. We never receive, hold, or transfer money on your behalf. Your customers pay you directly via UPI, bank transfer, or other methods you provide.
2. Eligibility
To use Shark Invoice, you must:
- Be at least 18 years old
- Be a legal business owner or authorized representative
- Provide accurate, current, and complete information during registration
- If charging GST: have a valid GSTIN registered with the Government of India
- Use the Service only for lawful business purposes in compliance with Indian law
3. Account registration
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately at info.sharkinvoice@gmail.com of any unauthorized access
- Keeping your contact information up to date
We reserve the right to refuse registration or terminate accounts at our discretion.
4. Subscription and billing
Pricing
- Free tier: ₹0.Includes 5 invoices and 5 quotes per month with a “Powered by Shark Invoice” footer on PDFs.
- Pro Monthly: ₹499 per month, GST-inclusive
- Pro Annual: ₹4,500 per year, GST-inclusive (effective ~₹375/month)
Pricing is subject to change. We will provide at least 30 days notice before any price increase affects your subscription.
Payment
- All subscriptions are processed via Razorpay (razorpay.com)
- By subscribing to a paid plan, you authorize Razorpay to charge your selected payment method on a recurring basis
- For UPI Autopay subscriptions, you authorize automatic deduction up to the subscription amount each billing cycle
Billing cycle
- Monthly subscriptions: charged monthly on the anniversary of your first payment
- Annual subscriptions: charged annually on the anniversary of your first payment
- Failed payments: Razorpay will retry automatically; if all retries fail, your subscription will be suspended and your account will revert to the Free tier
Cancellation
You may cancel your subscription at any time via Settings → Billing in your account, or by emailing info.sharkinvoice@gmail.com.
Upon cancellation:
- You will retain Pro access until the end of your current billing period
- You will automatically move to the Free tier thereafter
- No early-cancellation fees apply
Refunds
We do not offer refunds. By subscribing, you acknowledge that subscription fees are non-refundable. You may cancel at any time to stop future billing. See our Refund Policy for details.
5. Your data and content
Your ownership
You retain all rights to the data and content you create, upload, or generate through the Service, including:
- Invoice and quote content
- Customer/client information
- Business information
We claim no ownership over your data.
License to operate the Service
To operate the Service, you grant us a limited, non-exclusive, royalty-free license to:
- Store, process, and display your data
- Transmit your data via the data processors listed in our Privacy Policy
- Use your data to provide and improve the Service
This license terminates when you delete your account.
Your responsibilities for customer data
When you add information about your customers/clients to Shark Invoice, you represent and warrant that:
- You have obtained appropriate consent from those individuals
- You have the legal right to upload their data to our Service
- Your use complies with applicable data protection laws
You agree to indemnify us against any claims arising from customer data you upload without proper authorization.
6. Acceptable use
You agree NOT to use the Service to:
- Send spam, unsolicited messages, or commercial communications without consent
- Generate fraudulent, misleading, or fake invoices
- Impersonate any person or entity
- Violate any applicable law, including Indian GST law, IT Act 2000, or anti-money laundering regulations
- Attempt to gain unauthorized access to our systems
- Use the Service to harass, abuse, or threaten others
- Reverse engineer, decompile, or attempt to extract source code
- Resell or sublicense the Service without our written permission
- Use automated tools (bots, scrapers) to access the Service beyond reasonable use
We reserve the right to suspend or terminate accounts that violate these rules.
7. WhatsApp and Meta
The Service uses Meta's WhatsApp Cloud API to send messages. By using the WhatsApp features of Shark Invoice, you also agree to:
- Meta's WhatsApp Business Messaging Policy
- Meta's Commerce Policy
- Applicable WhatsApp Business Solution Terms
We are not responsible for WhatsApp message delivery failures, account restrictions imposed by Meta, or changes to Meta's policies.
8. GST compliance
Shark Invoice generates GST-compliant invoices based on the information you provide (GSTIN, state codes, line items, tax rates). However:
- You are responsible for the accuracy of all GST information you enter
- You are responsible for filing your GST returns (GSTR-1, GSTR-3B, etc.) — we don't file on your behalf
- You are responsible for compliance with GST laws applicable to your business
- We provide the Service “as is” and make no warranty that invoices generated will satisfy all GST compliance requirements in every scenario
If you have doubts about GST applicability, consult a qualified Chartered Accountant.
9. Service availability
- We provide the Service on a best-effort basis without guarantees of uptime
- The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control (Supabase outages, Vercel outages, Meta WhatsApp API issues, etc.)
- We are not liable for any losses arising from Service unavailability
- We will make reasonable efforts to notify users of planned maintenance via email or in-product notifications
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claims arising from your use of the Service shall not exceed the total amount you paid us in the 12 months preceding the claim (or ₹10,000, whichever is lower, for Free tier users)
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, data, or goodwill
- This limitation applies regardless of the legal theory of the claim (contract, tort, or otherwise)
12. Indemnification
You agree to indemnify, defend, and hold harmless Hakkiloo Digital Agency, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your customer or client data uploaded to the Service
- Invoices or quotes you generate using the Service
13. Termination
By you
You may terminate your account at any time by:
- Cancelling your subscription via Settings → Billing
- Requesting account deletion via info.sharkinvoice@gmail.com
By us
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms
- You fail to pay subscription fees
- You use the Service in a way that harms us, other users, or third parties
- Required by law or court order
Upon termination, your access to the Service ends. We may retain your data per our Privacy Policy and applicable law.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via email or in-product announcement at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.
